These Terms and Conditions apply to the website and services provided under the Concepduo name by Conceptduo Co., Ltd.
By accepting a quotation, paying a deposit or other project payment, approving work to begin, or otherwise engaging our services in writing, you agree to these Terms and Conditions together with any project specific terms stated in your quotation or proposal.
1. About Concepduo
Concepduo is the operating name of:
Conceptduo Co., Ltd.
Company Registration Number: 0105569079172
Registered Address: 119/61 Soi Phraya Suren 23 Bang Chan, Khlong Sam Wa, Bangkok 10510, Thailand
Email: hello@concepduo.com
Website: https://concepduo.com
Conceptduo Co., Ltd. is a limited company registered in Thailand and operates under the name “Concepduo”. Both names refer to the same company, which is the party you contract with.
In these Terms:
- Concepduo, we, us and our mean Conceptduo Co., Ltd.
- Client, you and your mean the person, company or organisation purchasing or requesting our services.
2. Services
Concepduo provides creative and digital services including:
- WordPress website design and development
- website strategy and structure
- website content writing
- SEO integrated into website projects
- SEO reviews and consultations
- ongoing content and technical services for eligible websites
- logo and brand identity design
- graphic design
- print and packaging design
- print production management where agreed
- white label creative services
- and related creative work specifically agreed in a quotation or proposal
The exact scope of each project is defined by the relevant quotation, proposal, invoice or other written agreement.
A service is not included simply because Concepduo offers it elsewhere on the website.
3. Quotations and Project Acceptance
A quotation or proposal may define:
- the scope of work
- deliverables
- price
- payment schedule
- estimated timeline
- revision stages
- third party costs
- recurring services
- and project specific conditions
A project is considered accepted when you do one or more of the following:
- approve the quotation or proposal in writing
- pay the requested deposit or initial payment
- instruct us in writing to begin
- sign a separate project agreement where applicable
Approvals made by email or another agreed electronic communication method are considered written approvals.
If a project specific quotation or written agreement contains terms that differ from these general Terms and Conditions, the project specific terms take priority for that project.
4. Prices and Taxes
The price for each project is stated in the applicable quotation or proposal.
Prices displayed on the Concepduo website may change for future projects.
Once a quotation has been accepted, the agreed price applies to the scope stated in that quotation unless the scope changes.
Conceptduo Co., Ltd. is not currently registered for Value Added Tax in Thailand. Prices are quoted without VAT and we do not issue tax invoices.
If Conceptduo Co., Ltd. becomes VAT registered, VAT at the applicable rate will be added to quotations issued after the date of registration. Prices already agreed in an accepted quotation are not affected.
Currency and Payment Charges
All prices are quoted and payable in Thai Baht (THB) unless the quotation states another currency.
The Client is responsible for all bank transfer fees, intermediary bank charges, currency conversion costs and payment processing fees. Concepduo must receive the full invoiced amount. Where a payment arrives short because of such charges, the shortfall remains payable.
Where a refund is later agreed, card and payment processing fees already charged on the original payment are not refundable, as these are retained by the payment provider.
Third Party Costs
Third party costs are not included unless specifically stated. These may include items such as:
- hosting
- domain renewals
- premium software
- plugins
- fonts
- stock photography
- printing
- delivery
- external licences
- or other services purchased for the project
5. Website Project Payments
Unless a different payment schedule is stated in the accepted quotation, website projects follow a 50/50 payment structure: 50% to start the project, 50% before launch.
Work begins after the initial payment has been received.
The website will not normally be launched until the final payment has been received, except where an approved payment plan applies.
Payment Terms
Invoices are payable within 5 days of the invoice date, unless the quotation states a different period.
Invoices may be paid by bank transfer, by international transfer, or through a card payment link, as stated on the invoice.
A payment is treated as received when cleared funds reach the Concepduo company account. A transfer instruction, a payment confirmation or a pending transaction is not treated as payment received.
Where a payment becomes overdue, interest may be charged at 1.5% per month on the outstanding amount, calculated from the due date until payment is received.
Basic Payment Plan
The Basic website package may be offered with a six month payment plan.
The exact initial payment, monthly instalments and total price will be stated on the Pricing page and confirmed in the Client’s quotation before the project begins.
Where a payment plan is used:
- the initial payment must be received before work begins
- remaining instalments must be paid according to the agreed schedule
- hosting remains under Concepduo’s control until the payment plan has been fully settled
- website ownership is subject to Section 13 of these Terms
Failure to make an agreed instalment may result in the website or related services being suspended until the account is brought up to date.
6. Monthly and Ongoing Services
Where Concepduo provides an ongoing monthly service, the service is billed in advance, unless otherwise agreed in writing.
The exact work included in the monthly service will be defined in the relevant quotation or service description.
Ongoing SEO, content and technical services may be limited to websites built or approved by Concepduo.
Concepduo does not automatically accept ongoing SEO work for websites built by another provider.
7. Deposits, Cancellations and Refunds
The initial project payment covers work performed, time reserved in our schedule, and costs committed at the start of the project. Once work has begun, this payment is not refundable.
Before work begins, any cancellation or refund request will be reviewed according to the circumstances of the project.
Any request for a refund, credit or adjustment concerning payments made beyond the initial payment will be considered case by case.
When reviewing such a request, we may consider:
- the stage of the project
- work already completed
- work already delivered
- time already allocated to the project
- costs already committed
- third party purchases
- licences already acquired
- approved work
- and the reason for cancellation
Depending on the circumstances, an agreed resolution may include:
- a partial refund
- project credit
- a revised scope
- rescheduling
- or another reasonable arrangement
Third party costs that have already been paid and cannot be recovered are not normally refundable.
Any refund, credit or alternative arrangement must be confirmed by Concepduo in writing.
Nothing in this section removes any right that cannot legally be excluded under applicable law.
8. Scope of Work
The project price covers the scope stated in the accepted quotation or proposal.
Work outside that scope may be charged separately. Examples include:
- additional website pages
- new functionality
- additional languages
- new integrations
- substantial design changes after approval
- additional content
- additional SEO work
- additional design concepts
- new sections not included in the original scope
- changes to previously approved work
- and work requested after project completion
Where a request materially changes the agreed scope, we will normally advise you before proceeding with additional chargeable work.
Minor changes may be handled without a separate quotation at our discretion.
9. Client Responsibilities
You are responsible for providing information, access, content and approvals needed to complete the project. Depending on the project, this may include:
- company information
- product or service information
- logos and brand assets
- photographs and videos
- website content
- prices
- contact information
- domain access
- hosting access
- website credentials
- analytics access
- legal wording
- regulatory information
- feedback
- and approvals
You must ensure that information supplied to Concepduo is accurate.
You are also responsible for ensuring that you have permission to provide and use any:
- photographs
- text
- logos
- trademarks
- videos
- illustrations
- fonts
- data
- or other intellectual property supplied to us
Concepduo is not responsible for claims arising from Client supplied material where the Client did not have the necessary rights or permission to use it.
10. Revision Rounds
Revision rounds depend on the type of project.
| Project | Revision rounds included |
|---|---|
| Website projects | Three rounds at each applicable design and content stage |
| Logo design | Two rounds |
| Brand identity | Three rounds |
| Print, packaging and other design work | As stated in the quotation |
A revision round means a reasonable set of changes submitted together following a review of that stage.
Where possible, feedback should be provided in one set rather than as a continuous series of separate requests.
Where a logo or brand identity project includes initial concepts and none of the presented concepts is accepted, one further set of concepts may be provided at no additional charge. Any further concept rounds beyond that may be quoted separately.
The included revision rounds are intended to refine the agreed concept and content. They do not cover a substantial change in:
- project direction
- business requirements
- website structure
- design concept
- functionality
- or original scope
Additional revision rounds or substantial changes may be quoted separately.
Where a quotation states a different arrangement for a specific project, the quotation takes priority.
11. Project Timelines
Project timelines depend on both Concepduo and the Client completing their respective parts of the project.
We may provide estimated completion or launch dates. Unless expressly confirmed as a fixed deadline in writing, these dates are estimates.
Delays in receiving any of the following may affect the schedule:
- content
- access
- information
- feedback
- approvals
- payments
- or other items required from the Client
30 Day Project Pause
If we are waiting for required information, content, feedback, approval or payment from the Client for more than 30 days, the project may be placed on pause.
A paused project will be rescheduled around Concepduo’s existing project commitments when the Client is ready to continue.
The original completion or launch date can no longer be guaranteed once a project has been paused.
12. Website Development and Launch
Websites are developed according to the scope and specifications agreed for the project.
Before launch, the Client is responsible for reviewing the website and identifying any reasonable corrections required within the agreed scope.
Approval to launch means that the Client accepts the website in its approved form, subject to any outstanding items agreed in writing.
Websites rely on technologies and services that can change after launch, including:
- WordPress
- browsers
- plugins
- hosting platforms
- APIs
- operating systems
- payment providers
- analytics services
- and other third party systems
A website functioning correctly at launch may require future updates as these systems change.
Unless an ongoing support or maintenance service has been purchased, project completion does not create an indefinite obligation for Concepduo to maintain, update or repair the website without charge.
13. Website, Domain and Hosting Ownership
Domain
Where a domain is purchased or registered as part of a website project, the domain is registered in the Client’s name from the start of the project.
The Client remains responsible for future domain renewal costs unless domain management is included in an ongoing service.
Website Files
Ownership of the final website files and Client specific completed work transfers to the Client after all payments due for the website project have been received.
Until full payment has been made, Concepduo retains ownership of unpaid project work.
Payment Plan Hosting
Where the Client uses an approved payment plan, hosting remains under Concepduo’s control until the payment plan has been fully settled.
If an agreed instalment becomes overdue, the website may be suspended until the account is brought up to date. Website files and the Client’s domain are not deleted during a suspension.
Once the payment plan has been settled in full, hosting may be transferred or migrated at the Client’s request.
Third party software and licensed materials remain subject to their own licence terms regardless of project payment.
14. Intellectual Property
The Client retains ownership of material supplied to Concepduo.
Ownership of Commissioned Work
Under Section 10 of the Copyright Act B.E. 2537, copyright in commissioned work belongs to the person who commissioned it unless the parties agree otherwise in writing. These Terms are that written agreement.
Concepduo retains copyright and all other rights in work created under a project until all payments due for that project have been received. On receipt of full payment, copyright in the final Client specific work created under the project transfers to the Client, subject to the exclusions below.
Where a project is cancelled or terminated before full payment, all rights in the work created for that project remain with Concepduo. The Client has no right to use, publish, copy or adapt unpaid work.
Moral Rights
Under Section 18 of the Copyright Act, the author’s moral rights cannot be transferred. Concepduo agrees not to exercise moral rights in a way that prevents the Client from using the completed work as intended.
Concepduo Retained Property
The transfer above does not include Concepduo’s pre existing or reusable intellectual property. Concepduo retains ownership of its:
- methods
- processes
- know how
- internal systems
- reusable code
- frameworks
- templates
- reusable design components
- development techniques
- research methods
- and other material created independently of the Client’s project
Where such material forms part of a completed project, the Client receives the rights reasonably required to use the completed work. This does not permit the Client to extract, resell or license that material separately.
15. Third Party Assets, Software and Licences
Projects may use third party products or services, including:
- WordPress plugins
- fonts
- stock images
- stock video
- software libraries
- themes
- hosting services
- domain registrars
- APIs
- payment systems
- analytics systems
- and other licensed technology
These products remain subject to the terms and licences of their respective owners.
Concepduo cannot transfer ownership of intellectual property owned by another party.
Some licences may:
- require renewal
- be limited to a particular website
- prohibit redistribution
- or require the Client to purchase its own licence
Domain and Hosting After the First Year
Where a website project includes domain and hosting for the first year, those costs are covered by the project price for that period.
After the first year, an annual charge applies. The current annual amounts for each website package are published on the Pricing page and confirmed in the Client’s quotation.
Where Concepduo provides the annual hosting service, that charge includes:
- hosting
- domain renewal
- backups
- and the paid plugin licences used on the Client’s website, for as long as the annual service remains active
Where the annual service is not renewed, or where the Client moves the website to another provider, the Client becomes responsible for arranging and paying for hosting, the domain and any paid software licences the website requires.
Where a paid third party licence held by Concepduo is used on a Client website, that licence does not transfer to the Client. The Client may need to purchase its own licence to continue receiving updates or support for that software.
Concepduo is not responsible for changes made by third party providers to their prices, features, availability or licence conditions.
16. SEO Services
SEO performance depends on factors outside Concepduo’s control. These include:
- search engine algorithms
- competitors
- search demand
- website history
- backlinks
- website authority
- technical changes
- market conditions
- and changes made by search engines
Concepduo does not guarantee:
- a particular Google position
- a specific ranking
- a fixed amount of traffic
- a number of enquiries
- sales
- revenue
- or any other commercial result
Where SEO work is included, we agree to perform the work stated in the project scope.
Search rankings can increase, decrease or fluctuate after work has been completed.
Recurring SEO and content services may be restricted to websites built or otherwise approved by Concepduo.
17. Content Writing
Where Concepduo writes website or marketing content, we may research and structure the content based on:
- information supplied by the Client
- our own research
- search intent
- the agreed brand direction
- and the purpose of the website or material
The Client remains responsible for confirming factual information relating specifically to its own business. This includes:
- prices
- qualifications
- claims
- product specifications
- guarantees
- business history
- addresses
- contact details
- legal statements
- medical or technical claims
- and regulated information
Approval of content confirms that the Client has reviewed and accepted it for publication.
Concepduo does not provide legal, tax, financial, medical or other regulated professional advice unless that service has been expressly agreed and we are legally authorised to provide it.
18. Branding, Graphic Design and Source Files
Deliverables for branding and graphic design projects are defined in the quotation.
Final work is delivered once the agreed project payments have been received.
Source or editable files are supplied where they form part of the agreed service. Third party files may only be supplied where their licences allow us to do so.
For print and packaging design projects where source file delivery forms part of the service, delivery may include:
- Adobe working files
- linked images
- fonts that we are legally permitted to supply
- and print ready PDF files
Third party licences remain in force after delivery.
19. Print Production and Proof Approval
Where Concepduo manages printing on behalf of a Client, two separate approvals apply.
Client Artwork Approval
The Client is responsible for checking and approving the content of the artwork before production. This includes, where applicable:
- spelling
- names
- telephone numbers
- email addresses
- website addresses
- prices
- dates
- quantities
- product information
- legal wording
- barcodes
- and other Client supplied information
Once artwork has been approved by the Client, that approval governs the content sent for production.
A printing error caused by incorrect information that was present in Client approved artwork is not treated as a Concepduo production error.
Printer Production Proof
Where the printer provides a production proof or production specification, that approval governs production matters such as:
- colour
- trim
- registration
- size
- finishing
- and other relevant production specifications
The final printed product should be assessed against the approved production proof or specification rather than against how artwork appeared on a computer screen.
If a production issue results from a material deviation by the printer from the approved production proof, the matter will be assessed with the printer according to the applicable production order.
20. Client Managed Printing
A Client may choose to take production ready files and arrange printing independently.
Once the approved production files have been supplied, Concepduo is not responsible for:
- the Client’s chosen printer
- printer setup
- materials
- colour calibration
- finishing
- print quality
- production errors
- delivery
- or other decisions made during production by a third party
We will, however, answer reasonable technical questions concerning files that we created and supplied.
Any changes requested after final file delivery may be treated as additional work.
21. Packaging and Regulatory Information
Where Concepduo designs packaging, labels or other regulated material, the Client is responsible for providing and approving information required for its product or industry. This may include:
- ingredients
- warnings
- legal wording
- barcodes
- certification marks
- manufacturer information
- importer information
- nutritional information
- regulatory statements
- product claims
- and other mandatory information
Concepduo may place this information into the design but does not certify that Client supplied information satisfies the regulatory requirements applicable to the Client’s product.
The Client should obtain appropriate legal or regulatory advice where required.
22. Approvals
Approval may be given through:
- project communication
- an approved messaging platform
- a proof approval
- or another written method agreed between the parties
Once a stage has been approved, Concepduo may proceed based on that approval.
Changes requested after approval may:
- require additional work
- affect the project timeline
- or result in an additional charge
The Client should therefore review material carefully before approving it.
23. Confidentiality
During a project, each party may receive information that is not publicly available.
Concepduo will take reasonable steps to keep confidential Client information private and use it only where needed to provide the agreed services.
Confidentiality does not apply to information that:
- was already publicly available
- becomes public without a breach of confidentiality
- was already lawfully known
- is lawfully received from another source
- or must be disclosed under applicable law or a valid order from a competent authority
A separate non disclosure agreement may be used where a project requires additional confidentiality.
White label projects will be handled according to any confidentiality, attribution or non disclosure terms agreed for that project.
24. Portfolio, Client Names and Testimonials
Concepduo may reference completed work in its portfolio, website, social media, presentations, case studies and other promotional material.
Where the work is publicly visible, such as a live website, printed material in public circulation or published packaging, Concepduo may reference and display that work, including the Client’s business name and the visible design, unless the Client notifies us in writing that it prefers otherwise.
Written approval will be obtained before we publish:
- a testimonial or quotation attributed to the Client
- the Client’s logo in a client list or logo display
- performance data, results, figures or statistics relating to the Client’s business
- work that has not been publicly released
- internal, confidential or commercially sensitive project information
- or any project covered by a confidentiality or white label agreement
A Client may ask at any time for its work to be removed from our promotional material, and we will do so within a reasonable period.
Where a project is confidential or white label, the specific confidentiality agreement takes priority over this section.
25. Changes Made by the Client or Other Parties
After a project has been delivered or launched, the Client may choose to modify the work itself or allow another person or company to do so.
Concepduo is not responsible for errors, security issues, design problems, lost data or technical failures caused by changes made by another party after delivery.
If Concepduo is later asked to repair or correct those changes, the work may be quoted separately.
26. Website Security and Backups
We take reasonable care when developing and maintaining websites. However, no website or internet connected service can be guaranteed to remain completely secure.
Unless backup, security monitoring or ongoing maintenance is included in an active service agreement, the Client is responsible for ensuring suitable arrangements are in place after project completion.
Concepduo is not responsible for security incidents caused solely by:
- compromised Client passwords
- unauthorised third party access
- Client installed software
- outdated systems outside our management
- third party hosting failures
- or changes made outside our control
27. Third Party Services
Concepduo may configure or integrate third party services as part of a project. Examples include:
- hosting providers
- payment gateways
- booking systems
- analytics platforms
- Google services
- social platforms
- email platforms
- mapping services
- and external APIs
These services operate independently from Concepduo. We cannot guarantee their continued:
- availability
- functionality
- pricing
- compatibility
- or terms of service
Changes imposed by a third party service after project completion may require additional work.
28. No Guarantee of Commercial Results
Design, branding, content, SEO and website development may support a business, but commercial performance depends on many factors outside our control.
Unless a specific performance commitment is expressly agreed in writing, Concepduo does not guarantee:
- leads
- enquiries
- sales
- revenue
- conversion rates
- search rankings
- website traffic
- followers
- engagement
- media coverage
- or other commercial results
29. Limitation of Liability
Concepduo will perform agreed services with reasonable professional care.
To the maximum extent permitted by applicable law, Concepduo is not liable for indirect, incidental or consequential loss arising from circumstances outside the agreed scope of work or outside our reasonable control. This may include losses arising from:
- third party platform failures
- hosting outages
- search engine changes
- software changes
- unauthorised modifications
- Client supplied incorrect information
- loss of rankings
- lost business opportunities
- or services controlled by another provider
Where liability can legally be limited, Concepduo’s total liability arising from a particular project or service will not exceed the amount paid to Concepduo for the specific project or service giving rise to the claim.
Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited by law.
30. Suspension and Termination
Concepduo may suspend work or services where there is a material reason to do so. This may include:
- overdue payment
- repeated failure to provide information required for the project
- unlawful use of our services
- a serious breach of these Terms
- abusive or threatening behaviour
- a request to produce unlawful material
- or circumstances that make continued performance of the project unreasonable or unlawful
Except where the law requires immediate action, Concepduo will give the Client 7 days written notice before suspending a website or service. The notice will state the reason and what is required to avoid suspension.
During a suspension, website files and the Client’s domain are not deleted.
The Client may also request to terminate a project.
Where a project ends before completion, payments and any possible refund or credit will be handled according to Section 7 of these Terms.
Work that has not been fully paid for remains the property of Concepduo, as set out in Section 14.
31. Data Protection
Concepduo processes personal data in accordance with its Privacy Policy and applicable data protection law.
The current Privacy Policy is available on the Concepduo website.
Where a project requires Concepduo to access personal data controlled by the Client, additional data processing terms may apply where required.
32. Force Majeure
Neither party is responsible for delay or failure caused by circumstances reasonably outside its control. These may include:
- natural disasters
- severe weather
- fire
- war
- civil unrest
- government restrictions
- widespread internet or infrastructure failures
- major cyber incidents
- epidemics
- or similar events
Where possible, the affected party should take reasonable steps to reduce the impact of the disruption.
33. Website Information
We take reasonable care when publishing information on concepduo.com. Website content may be updated from time to time.
General website information, examples, articles and portfolio content do not create a project contract.
The Client’s accepted quotation or proposal defines the commercial agreement for that particular project.
34. Changes to These Terms
Concepduo may update these Terms and Conditions when its services, business practices or legal requirements change.
The latest version will be published on concepduo.com with the date of the latest update.
Changes to the general Terms do not normally replace specific commercial terms already agreed for an active project unless:
- both parties agree to the change
- the project agreement permits the change
- or the change is required by law
35. Governing Law and Disputes
These Terms and Conditions are governed by the laws of the Kingdom of Thailand.
If a dispute arises, both parties should first make a reasonable attempt to resolve the matter directly.
Where a dispute cannot be resolved, it will be subject to the jurisdiction of the competent courts of Thailand, except where mandatory law provides otherwise.
